Terms of Service

These Terms of Service ("Terms") govern access to and use of the Bayes Pharma.ai marketing sites, product-preview workspaces, and — where a separate order form or subscription agreement does not otherwise apply — the BayesPharma Innovator, Bayes Pharma Generics.ai, and Bayes Pharma Clinical.ai products (together, the "Service").

1. Acceptance of terms

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, Medical & Regulatory Disclaimer, and Responsible AI Use statement, each incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If a signed order form, master subscription agreement, or enterprise agreement between your organization and Bayes Pharma.ai conflicts with these Terms, that agreement controls for your organization's licensed use.

2. Description of the service

Bayes Pharma.ai provides decision-intelligence software workspaces that help pharmaceutical and life-sciences teams connect scientific evidence, models, assumptions, uncertainty, review history, and regulatory-authoring context across discovery, translational science, formulation, clinical pharmacology (MIDD), and regulatory workflows. The Service is a professional decision-support tool intended for use by qualified personnel; it is not a substitute for expert scientific judgment, validated methods, or accountable review, as described further in our Medical & Regulatory Disclaimer.

3. Eligibility & accounts

  • You must be at least 18 years old and capable of forming a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to provide accurate registration and contact information and to keep it up to date.
  • Notify us promptly at contact@bayespharma.com if you suspect unauthorized use of your account.

4. Subscriptions, trials & fees

Access to licensed Bayes Pharma.ai workspaces, pilots, and demo environments is typically governed by a separate order form or subscription agreement that specifies fees, term, user limits, and workspace scope. Where no such agreement exists, any trial, pilot, or evaluation access is provided on an "as available" basis and may be modified, limited, or withdrawn at any time. Fees under an active agreement are non-refundable except as expressly stated in that agreement or required by law.

5. Acceptable use

You agree not to:

  • Use the Service to store or process protected health information or other regulated patient-identifiable data unless expressly permitted under a signed agreement with appropriate safeguards.
  • Reverse engineer, decompile, or attempt to extract the underlying models, source code, or proprietary methods of the Service, except to the extent such restriction is prohibited by applicable law.
  • Use the Service to build a competing product or to benchmark it for competitive purposes without our prior written consent.
  • Upload content that infringes third-party intellectual-property rights, violates privacy or data-protection law, or is unlawful, defamatory, or malicious.
  • Interfere with or disrupt the integrity, security, or performance of the Service, including through unauthorized automated access, scraping, or load testing.
  • Misrepresent the origin, validation status, or regulatory acceptance of any evidence, claim, or output produced using the Service.

6. Customer content & ownership

As between you and Bayes Pharma.ai, you and your organization retain all rights, title, and interest in the scientific data, documents, models, and other content you submit to the Service ("Customer Content"). You grant Bayes Pharma.ai a limited license to host, process, and display Customer Content solely to provide, maintain, and support the Service for you, and — unless you opt out where an opt-out is offered — to maintain and improve the reliability of shared platform functionality in a manner that does not disclose your confidential Customer Content to other customers. Bayes Pharma.ai does not claim ownership of Customer Content.

Bayes Pharma.ai retains all rights in the Service itself, including its software, workspace designs, documentation, and any aggregated or de-identified analytics derived from usage of the Service that do not identify you or disclose your Customer Content.

7. AI-assisted features

Certain workspaces use AI-assisted or model-informed capabilities (for example, generative chemistry suggestions, an evidence copilot, or active-learning experiment prioritization). These features are provided to support — not replace — expert scientific judgment. Outputs may be incomplete, contain errors, reflect limitations of the underlying data or models, or fail to capture context known to you. You are responsible for independently reviewing, validating, and, where appropriate, having qualified personnel approve any AI-assisted output before relying on it for a development, regulatory, clinical, or business decision. 8. Not medical, regulatory, or legal advice

The Service, including any dosing, translational, trial-design, or regulatory-readiness workspace, does not provide medical advice, is not a medical device, and does not guarantee regulatory acceptance of any submission, claim, or evidence package. Outputs must be reviewed and validated by qualified scientific, clinical, regulatory, and legal personnel before use. See our full Medical & Regulatory Disclaimer.

9. Intellectual property

The Service, including its design, text, graphics, workspace logic, and underlying software, is owned by Bayes Pharma.ai or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted to you, no rights are transferred to you by these Terms. "Bayes Pharma.ai," "BayesPharma Innovator," "Bayes Pharma Generics.ai," "Bayes Pharma Clinical.ai," and related names and marks are trademarks of Bayes Pharma.ai and may not be used without prior written permission.

10. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service using at least the same degree of care it uses to protect its own confidential information of similar importance, and not less than a reasonable degree of care, and to use such information only for purposes of exercising rights and performing obligations under these Terms or an applicable order form.

11. Third-party services & links

The Service may link to or interoperate with third-party services, registries, publication databases, or AI providers. Bayes Pharma.ai does not control and is not responsible for the content, accuracy, availability, or practices of third-party services. Your use of any third-party service is subject to that provider's own terms and privacy policy.

12. Disclaimers of warranties

Except as expressly stated in a signed order form or agreement, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. Bayes Pharma.ai does not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate, complete, or suitable for any particular regulatory, clinical, or business purpose.

13. Limitation of liability

To the maximum extent permitted by law, Bayes Pharma.ai and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, Bayes Pharma.ai's total aggregate liability arising out of or relating to the Service will not exceed the amount you or your organization paid to Bayes Pharma.ai for the Service in the twelve (12) months preceding the event giving rise to the claim, or, where no fees have been paid, one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Bayes Pharma.ai from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Customer Content, or your violation of applicable law, except to the extent caused by Bayes Pharma.ai's own breach of these Terms or negligence.

15. Term & termination

These Terms remain in effect while you use the Service. We may suspend or terminate access if you materially breach these Terms and do not cure the breach within a reasonable period after notice, or immediately where necessary to protect the security or integrity of the Service or other users. Upon termination, your right to access the Service ends, and provisions that by their nature should survive (including Sections 9, 10, 12, 13, 14, and 16) will survive.

16. Governing law & disputes

These Terms are governed by the laws of [governing jurisdiction to be specified by Bayes Pharma.ai's counsel], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts or arbitral forum designated in the applicable order form or, absent such designation, in the jurisdiction described above.

17. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Miscellaneous

  • Entire agreement: these Terms, together with any applicable order form and the policies referenced herein, constitute the entire agreement between you and Bayes Pharma.ai regarding the Service, unless superseded by a signed agreement.
  • Severability: if any provision is found unenforceable, the remaining provisions remain in full force.
  • Assignment: you may not assign these Terms without our written consent; Bayes Pharma.ai may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
  • No waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
